Gen Delivery Terms

Capitalized terms used herein and not define have the meaning specified in the Gen Master Purchase Agreement or Gen Purchase Order Terms and Conditions, as applicable.Unless otherwise expressly stated in mutually executed order or statement of work between NLOK and Provider (each, an “Order”):

These Gen Delivery Terms apply to products, materials and other items physically delivered to Gen Digital Inc. and its affiliates (“Gen”) by any suppliers, contractors and other third parties (“Provider”):

1. Title and risk of loss or damage for all products, materials and other items physically delivered to Gen (“Products”) will pass to Gen upon Gen’s actual receipt of such Products at Gen’s specified place of delivery. Provider will bear the risk of loss or damage for Products rejected by Gen, except to the extent caused by Gen’s employees’ misconduct or negligence. 

2. Gen may, at any time, reschedule delivery of all or part of the Products at no additional charge. The new delivery date, if any, designated by Gen will become the scheduled delivery date. Gen may also cancel without penalty its purchase of any Products (and related payment obligations), prior to Gen accepting delivery of such Products.

3. All Products will be packed in a manner that is: (i) in keeping with good commercial practices, (ii) acceptable to common carriers for shipment at the lowest rate for the particular Products, (iii) in accordance with I.C.C. regulations and (iv) adequate to ensure safe arrival of the Products at the specified destination. 

4. All containers will be marked with the applicable lifting, handling and shipping information that includes Purchase Order numbers, Provider’s part number, the number of cartons and any other unique markings required by the Gen.
